The statutes of Stichting Support a Bit, summarised in plain language per article.

The statutes are the foundational rules of the foundation. They set out how the board is organised, what the foundation's objective is, how decisions are made and what happens to the foundation's assets in the event of dissolution. Statutes are mandatory for every Dutch foundation and must be laid down in a notarial deed.

Article-by-article summary

Article 1 — Name and seat

The foundation is named Stichting Support a Bit and has its registered seat in the municipality of Rotterdam. The foundation has been established for an indefinite period.

Article 2 — Objective

The objective of the foundation is to serve the public interest in the fields of welfare, health, education and culture, by promoting social connection, dignity and awareness for the benefit of people who are in a vulnerable position or at risk of being overlooked. The foundation does not pursue profit.

Article 3 — Definitions

Article 3 defines terms that recur in the statutes, such as "board", "board member", "in writing" and the manner in which notifications are given. "In writing" includes electronic messages, provided the message can be retained in written form.

Article 4 — Capital

The foundation's capital consists of subsidies, gifts, donations, inheritances, legacies and all other income lawfully obtained. Inheritances are accepted solely under the benefit of inventory.

Article 5 — Board, composition

The board consists of at least three natural persons, in the positions of chair, secretary and treasurer. Board members are appointed by the board. Board members receive no remuneration for their work; actually incurred expenses are reimbursed only against documented proof.

Article 6 — Board, duties

The board is charged with managing the foundation. The board manages the foundation's assets, sets policy, takes decisions on activities and oversees their execution. The board annually adopts a budget, a set of annual accounts and an activity report.

Article 7 — Representation

The foundation is represented by the board as a whole. In addition, authority to represent the foundation is granted to the chair acting jointly with either the secretary or the treasurer, or to the secretary acting jointly with the treasurer.

Article 8 — Working procedure of the board

The board meets as often as necessary. Decisions are taken by absolute majority of the votes cast, unless the statutes provide otherwise. A board member does not take part in deliberation or decision-making in the case of a conflicting personal interest (paragraph 8). Decisions may also be taken outside a meeting, provided all board members consent.

Article 9 — Financial year and annual documents

The financial year of the foundation coincides with the calendar year. The board annually prepares a balance sheet and a statement of income and expenditure, together with explanatory notes, and retains these for at least seven years.

Article 10 — Amendment of the statutes

A decision to amend the statutes may be taken only in a meeting in which all board members are present, with a majority of at least two thirds of the votes cast. If not all board members are present, the decision may be taken in a subsequent meeting by the same majority, regardless of the number present. Amendment of the statutes takes place by notarial deed.

Article 11 — Dissolution

The board may dissolve the foundation by the same majority and on the same conditions as for amendment of the statutes. Any positive balance remaining after liquidation is allocated to an ANBI organisation with a similar objective, to be designated by the board.
